(International Exhibition Area)
Article 1 Conditions for participation
1. The participated company (Party B) shall be legitimate company.
2. The original registered place of the trademarks of Party B shall be the countries and regions outside Chinese mainland.
Article 2 Confirmation and change of booth
The participation contract for the exhibition will take effect after being signed or sealed by both parties and therefore the booth has been confirmed. Party B shall remit 50% of the total booth fee as deposit to Party A's account within 5 working days after receiving the contract, and Party A shall not change Party B's booth without Party B's permission. If Party B fails to pay the deposit on time, Party A has the right to cancel the booth reserved by Party B or readjust the booth.
Within 30 days before the exhibition, Party B shall not change the information such as booth type and company name.
The fascia characters and booth structure shall not change on site .
Article 3 Booth exhibit and supporting equipment
Standard booth: Chinese and English fascia for exhibitor ,carpet, one information desk, four folding chairs, one table, one garbage basket, an 4m hanger rod+2 rolling clothes racks or 8 pieces of flat boards+1 goods shelf, four spotlights and a 5A power supply (for non-lighting use).
Raw space: only raw space is provided, excluding any furniture, water, electricity, etc. In addition to paying the booth fee, exhibitors renting raw space should also purchase the exhibition liability insurance provided by Chinese mainland insurance company, and pay the electricity box rental fee, management fee and construction deposit to the general contractor.
Article 4 Rights and obligations of Party A
1. If Party B fails to pay 50% of the booth fee as deposit within 5 working days after receiving the contract, Party A has the right to cancel Party B's reservation of the booth or readjust the booth.
2.When the contract comes into effect, if Party B fails to pay all the fees before April 30, 2025, or unilaterally cancels the participation, Party A will not refund the fees paid by Party B. For special circumstances, it shall be resolved through negotiation.
3. Party B are not allowed to transfer the booth without permission or share all or part of the booth with others. In case of violation, Party A has the right to cancel the participation qualification of the exhibitor, and the fees paid will not be refunded.
4. According to the actual situation, without affecting the participation of Party B, Party A reserves the final right to interpret the adjustment of the booth.
5. Party A shall provide Party B with the exhibitor's manual, the exhibitor's directory, the exhibitor's badge and other materials.
6. Party A shall provide designated general contractor and transporters for the exhibition and provide related supporting services.
Article 5 Rights and obligations of Party B
1. Party B must pay the booth fee to Party A within the prescribed time limit.
2. Without the written consent of Party A, Party B shall not transfer all or part of the rights and obligations (including but not limited to the booth) agreed in the contract to a third party; Otherwise, Party A reserves the right to cancel the participation qualification of Party B and relevant third-party exhibitors and readjust their booths separately.
3. Party A shall build the standard booth in a unified mode, and Party B shall not change the unified fascia, modify or upgrade the standard booth without permission. If Party B violates it, Party A has the right to order it to rectify and restore its original appearance, and the expenses incurred shall be borne by Party B. Party B only enjoys the right to use the supporting facilities in the booth. If there is any damage or loss, Party B shall pay compensation as 200% of the rental price.
4. For the self-designed and construction raw space, Party B shall submit an application for booth construction to the general contractor within the time specified in the exhibitor manual, including: booth construction plan (renderings), construction materials, electricity consumption (amperes), construction person in charge and the number of constructors, etc. Construction shall be carried out in strict accordance with Notice for the Construction of Special Design Booth, Regulations on the Use of Exhibition Hall and fire safety system regulation. In case of violation, all losses and compensation caused shall be borne by Party B..
5. For the exhibitor of raw space, Party B must purchase insurance according to the regulations. Any accident during the construction, exhibition and withdrawal of exhibition shall be borne by Party B or its constructor, or Party B shall ask for the compensation to the insurance company according to the insurance contract, Party A shall not bear any responsibility.
6. Party B can only make advertisement or commercial activities inside the booth, and retailing are not allowed.
7. Party B and its representatives are not allowed to do any behavior that Party A thinks may cause disturbance, damage or risk to others ,other’s health and safety, nor shall they do any behavior violates the convention or regulations of the exhibition.
8. Without the prior written permission of Party A or the permission of other exhibitors, Party B is strictly forbidden to record the image information of other exhibitors' booths and exhibits in any form. Without the invitation of relevant exhibitors, Party B is strictly forbidden to visit or attempt to visit other booths.
9. Party B and its representatives must always wear the exhibitor's badge issued by the organizer in the exhibition hall.
10. Party B shall also agree that the relevant information it provides for the exhibition may be used in the exhibition database including the official directory of the exhibition, for the exchange among exhibitors, or sent to a third party for publicity purposes.
11. Party B shall exhibit the products in strict accordance with the time specified for the exhibition, and shall not postpone or shorten the exhibition time without permission. Party A has the right to sanction exhibitors who withdraw from the exhibition after the deadline or in advance.
12. If Party B invites stars and celebrities for releasing products and other related activities during the exhibition, it is a must to send application to Party A in advance.
Article 6 Relevant requirements for the protection of exhibits and intellectual property
1. Party B shall not exhibit any fake and shoddy products, products that infringe the intellectual property of third parties (infringing products), products that are restricted or prohibited by local laws (prohibited goods), products that violate the international trade agreement of CITES, or products that violate other international laws, regulations and international rules on species slaughter and endangered species protection, including those that violate the regulations on unethical products of International Union for Conservation of Nature (IUCN). In case of violation, Party A has the right to unconditionally remove infringing products, prohibited products or unethical products identified by local courts or relevant authorities, cancel Party B's right to participate in the exhibition or close the booth; Party B shall bear the responsibilities and compensate the corresponding losses, while Party A shall not bear any responsibilities for behavior, debt, loss, expenses (including legal fees) and related matters.

2. The display of any working or movable exhibits shall be approved by Party A with written permission in advance. In order to protect the public from any possible damage or influence of exhibits, Party B must take corresponding preventive measures, such as setting up security or other protection methods.
3. The working or movable exhibits can only be displayed by the staff authorized by Party B, the relevant person in charge shall not leave and the exhibits shall not run unattended. All exhibits and equipment can only be placed within the booth. Exhibitors are not allowed to store any dangerous goods in the booth (according to the corresponding laws and regulations of the exhibition place).
4. During the exhibition, Party B can only exhibit the exhibits declared in the application form. If there is any product not related to the declared exhibits in the booth, Party A has the right to remove or confiscate the products according to the violation situation, and close the booth.
5. During the exhibition, if any of Party B's exhibiting project is found to be suspected of infringing the intellectual property of others, and Party B fails to make an effective non-infringement defense within the specified time limit or the defense is found to be invalid by the organizer, Party A has the right to require Party B to cover up the exhibits, withdraw from the exhibition and compensate for losses immediately.
6. If Party B records image in violation of regulations or infringes the intellectual property of third parties, Party B shall be responsible for compensating the corresponding losses, and the organizer will not be harmed by any complaint or legal prosecution, and will not bear any related responsibilities for behavior, debt, loss, expenses (including legal fees).etc.
Article 7 Force Majeure
1. During the implement of the contract, due to any force majeure such as government decree, war, natural disasters, epidemics, explosions, riots, terrorist activities, coups, industrial or trade disputes, diseases, public health risks, unexpected failure of machinery/equipment, shortage or paralysis of transportation, electricity and other supplies, government actions, which caused unavailability or inapplicability of the exhibition hall, or difficulties in continuing the implement of the contract, or high cost that directly affecting the implement of the contract, the party suffering from the accident shall immediately notify the other party of the accident, and provide the other party with detail explanation of the accident in written form within 3 days . According to the impact of the accident on the implement of the contract, both parties shall negotiate to solve it, and neither party shall bear the liability for breach of contract arising therefrom.
2. In case of any unexpected situation, accident or predisposing cause that make Party A think that it is impossible, unrealistic and unnecessary to hold the exhibition as planned, Party A has the right to unconditionally cancel the exhibition, postpone the exhibition irregularly or make changes to the exhibition, and will not be responsible for the exhibitors.
Article 8 This fair is a professional exhibition, person under the age of 18 is not allowed to enter during the construction and opening period.
Article 9 Matters not covered in the contract shall be settled by both parties through negotiation. Party A has the final right to interpret the contract.
Article 10 The terms for participation and the confirmation form for participation together constitute the participation contract. Once the confirmation form for participation is sealed, the contract will take effect immediately.
